Terms & Conditions
Last Updated: September 21, 2026
These Terms and Conditions ("Terms") govern your use of everything Vybe Technologies ("Vybe", "we", "us" or "our") provides: this website, our software platforms, the hardware and third-party products we supply, our IT and security services, our printing services, the registrations and filings we prepare on your behalf, and the certification we issue. By using any of them, or by accepting a quotation from us, you agree to these Terms.
Where we have signed a separate written agreement, purchase order or statement of work with you, that document governs to the extent it conflicts with these Terms. These Terms cover everything it does not.
1. What these Terms cover
Vybe operates several distinct lines of business. Not every clause below applies to every customer, and each section says which service it governs:
- Vybe ERP — cloud software for school and college administration.
- Vybe CMS — the cashless campus cafeteria platform, including the ordering application and the Vybe Wallet.
- Smart classrooms and hardware — interactive panels, class systems, supply and installation.
- Workspace and email — Google Workspace, Microsoft 365, Zoho and similar products, supplied as a reseller.
- IT and cyber services — custom development, security testing and managed IT.
- Printing — printed goods produced to artwork you supply.
- Registrations and filings — GST, Udyam (MSME), FSSAI, DPIIT / Startup India recognition and similar applications.
- ISO certification — our own non-accredited certification service. Section 11 is essential reading before you buy it.
2. Accounts and security
Where a service requires an account, you are responsible for what happens under it.
- You must give accurate registration details and keep them current. Institutional accounts must be registered with an institutional email address where one exists.
- You are responsible for keeping login credentials and one-time passwords confidential. Accounts are personal and non-transferable, and order QR codes must not be shared with anybody outside the institution.
- Tell us promptly if you believe an account has been compromised.
- We may suspend or terminate an account that breaches these Terms, that is used fraudulently, or that puts the platform or other users at risk.
3. Vybe CMS: ordering and fulfilment
In the cafeteria platform, Vybe acts solely as a technology intermediary between users (students and staff) and the independent food vendors operating on your campus.
- Order handover: orders are fulfilled only on presentation of the valid, auto-generated QR code at the service counter.
- Quality and liability: we do not prepare, handle or package food. Questions of food quality, allergens and hygiene are for the vendor concerned. Vybe is not liable for illness, allergic reaction or dissatisfaction arising from food supplied by a vendor.
- Menus, prices and availability are set by the vendors, not by us.
4. Vybe CMS: cancellations and cut-offs
Cafeterias run to a clock, so cancellation windows are enforced by the system:
- Immediate orders can be cancelled within 5 minutes of being placed, provided the vendor has not already marked the order "Preparing" or "Ready".
- Scheduled Break 1 orders must be cancelled before 10:00 AM on the day of pickup.
- Scheduled Break 2 orders must be cancelled before 12:30 PM on the day of pickup.
- Once an order passes its cancellation window or is marked "Completed", it cannot be refunded.
5. Payments, fees and the Vybe Wallet
The cafeteria platform supports two payment methods: the closed-loop Vybe Wallet, and direct online payment through our payment processor.
- Vybe platform fee: a fixed convenience fee (₹1.00) applies to every order placed through the platform.
- Gateway fees: orders paid directly by UPI or card carry an additional 1.6% gateway processing fee, charged by the payment processor and non-refundable in all circumstances.
- Vybe Wallet: wallet funds attract no per-transaction gateway fee. Wallet balances are tied to your campus identity, cannot be cashed out and cannot be transferred to an external bank account. On graduation or departure from the institution, an unused balance must be claimed as physical vendor credit within 30 days.
For all other services, payment terms are as stated on the quotation or invoice. Unless we have agreed otherwise in writing, printing and registration work is taken on against advance payment, and government charges are payable in addition to our professional fee.
6. Refunds
Cafeteria refunds are processed automatically in defined circumstances:
- An order cancelled within the permitted window is refunded to your Vybe Wallet at the base cost of the food, whatever the original payment method.
- If a vendor rejects an order, or marks an item out of stock after payment, a refund to the Vybe Wallet is initiated automatically.
- Platform convenience fees and gateway processing fees are non-refundable once a transaction has been captured.
Refunds and cancellations for every other service are set out in our Cancellation & Refund Policy, which forms part of these Terms.
7. Software subscriptions and deployments
Vybe ERP and Vybe CMS are supplied as hosted software for the term stated on your quotation or order.
- Subscriptions are licensed to the institution named on the order, for the number of users or the scope agreed. The licence is non-exclusive and non-transferable.
- We maintain, update and support the platform during the term. We do not promise uninterrupted availability except where a specific service level is agreed in writing.
- Data you and your users put into the platform remains yours. We process it as described in our Privacy Policy and on your instructions.
- On termination, and on request within a reasonable period after it, we will provide an export of your data in a standard format. After that period, data may be deleted.
- You must not resell, sublicense, reverse-engineer or attempt to extract the source of the platform, nor use it to build a competing product.
8. Hardware, smart classrooms and installation
- Hardware is supplied on the specification stated in the quotation. Where a specific model becomes unavailable, we will offer an equivalent before substituting anything.
- Warranty on hardware is the manufacturer's, on the manufacturer's terms and for the manufacturer's period. We will facilitate a warranty claim; we do not extend or replace that warranty, and we do not warrant hardware ourselves unless we say so in writing.
- Installation dates are scheduled per project and depend on site readiness, including power, mounting surfaces and network access. Delays caused by site conditions are not our responsibility.
- Dispatch, delivery and the point at which risk in goods passes to you are set out in our Shipping & Exchange Policy.
9. Third-party products and services
Where we supply, resell or configure a third-party product — Google Workspace, Microsoft 365, Zoho, interactive flat panels, cloud infrastructure, payment gateways or similar — your use of that product is governed by that vendor's own terms, licences and service levels, in addition to these Terms. We do not control those products, we cannot vary their vendors' terms, and we are not responsible for a vendor's outage, price change, feature removal or discontinuation. What we are responsible for is the work we do: procurement, configuration, migration and support as agreed.
10. IT and cyber services
- Custom development is delivered against a written scope. Work outside that scope is a change request and is quoted separately.
- Security testing is carried out only under written authorisation from a person entitled to give it, and strictly within an agreed scope, target list and time window. You warrant that you own the systems in scope or are authorised to have them tested, and you will indemnify us against claims arising from a lack of that authority.
- A security assessment reports what was found within the agreed scope and at the time it was run. It is not a guarantee that a system is secure, and it does not make us liable for a later compromise.
- Where we hold credentials or access to your systems, we use them only for the agreed work and revoke them on completion.
11. Printing
- Artwork and rights: you warrant that you own, or are licensed to use, everything in the artwork you send us, including logos, images, fonts and text, and that printing it will not infringe anyone's rights. You indemnify us against claims to the contrary. We print what you send; we do not verify its ownership.
- Proofs: nothing goes on a machine until you approve a proof. Once you approve it, the approved proof is the specification. Errors present in approved artwork, including spelling, numbers and contact details, are not our responsibility and are not grounds for a reprint at our cost.
- Colour: colour on a printed sheet will not match a backlit screen exactly, and slight variation between production runs, materials and machines is normal in the trade. Where exact colour matters, ask for a physical proof before the run.
- Quantity: small over-runs and under-runs are normal in commercial printing. We will tell you if a tolerance applies to your job.
- Customised goods: printed goods are made to your specification and cannot be resold. They are therefore not returnable except where the goods are defective or differ from the approved proof. Report any such issue within the period stated in our Shipping & Exchange Policy.
- Turnaround is confirmed with the quotation and runs from proof approval and cleared payment, not from your first enquiry.
- Content we will not print: we may decline any job, and will decline anything unlawful, defamatory, or that infringes a third party's rights.
12. Registrations and filings
- What we are: Vybe prepares and files applications. We are not a law firm, a firm of chartered accountants or a company secretary, and nothing we provide is legal, tax, accounting or investment advice. Where a matter needs that, we will tell you to take it.
- Our fee and the government's: the published fee is our professional fee. Government charges, where any apply, are separate, payable at actuals and quoted to you before you commit. Some of these registrations carry no government fee at all, and you are always free to file them yourself.
- Information you give us: you are responsible for the accuracy and completeness of the documents and figures you supply, and for the declarations made in your name on the strength of them. We will point out what looks wrong; we cannot verify the truth of what you tell us.
- No guaranteed outcome: registrations, licences and recognitions are granted by government departments on their own criteria. We do not control the decision, and we do not promise approval. We do commit to preparing the application properly, answering clarifications as part of the fee, and telling you plainly where an application stands.
- Timelines quoted for departmental processing are estimates based on experience, not commitments. Filing on our side happens within the time we state.
- Digital signature certificates: a DSC is issued by a licensed Certifying Authority, not by Vybe. We act as a registered partner of the Certifying Authorities eMudhra and Capricorn, and the certificate is governed by that authority's subscriber agreement and certification practice statement, which you accept when you apply. Verification, including video verification, must be completed by the applicant personally. The token is handed to you and you set and keep the PIN. We do not retain client tokens or PINs and will not sign on your behalf. A certificate once issued cannot be cancelled for a change of mind, since the authority's charge is incurred at issue; see our Cancellation & Refund Policy. The private key is generated inside the token and cannot be recovered by us or by the authority if the token is lost or the PIN is locked, and a lost token must be reported so the certificate can be revoked.
- Advisory engagements: some of this work, including NSDC and Skill India training partner registration and affiliation applications, is consulting rather than filing. There we review requirements, check your documents and help you prepare the file. You hold the portal account, submit the application, pay the authority's fees, sign the declarations and host any inspection. We do not submit anything in your name, we are not agents for any authority, Sector Skill Council or affiliating body, and we have no influence over their decisions. These engagements are scoped and quoted before work starts.
- After the certificate: ongoing obligations that follow a registration, such as periodic returns, renewals and displaying a licence number, are yours unless we have separately agreed to handle them.
13. ISO certification: non-accredited
This clause governs the ISO certification service and is written to leave no room for misunderstanding.
- The certificate is issued by Vybe Technologies. We are not a certification body accredited by the National Accreditation Board for Certification Bodies (NABCB), by any other member of the International Accreditation Forum (IAF), or by any accreditation board anywhere.
- The certificate does not carry, and must not be presented as carrying, any IAF, ILAC, NABCB or other accreditation mark. Representing it as accredited, to a customer, a tender authority, a regulator or anyone else, is a breach of these Terms and is your responsibility alone.
- ISO itself does not certify organisations. ISO publishes the standards; certification is carried out by third parties, and it is the accreditation behind a certification body that gives a certificate standing in a regulated or tendered context. ISO's own logo is not available for use by certified organisations, accredited or otherwise.
- Verification is available on Vybe's certificate verification portal, and nowhere else. The certificate number, scope, standard and validity dates are shown there.
- Where it is not suitable: if a customer, tender, regulator, overseas buyer or vendor programme requires an accredited certificate, ours does not meet that requirement. It is your responsibility to ask them which they require. If you tell us an accredited certificate is required, we will tell you that this service is not it.
- What we provide for the fee: a review of your processes against the standard, assistance with the documentation, an audit of the result, and a certificate valid for the stated period subject to any review conditions on it. We may suspend or withdraw a certificate if the audited system is no longer in place, if it was obtained on inaccurate information, or if the certificate is misrepresented.
- Certification does not make us responsible for your products, services, processes or compliance, and does not transfer any of your obligations to us.
14. Your responsibilities
Across all services, you agree not to use what we provide to break the law, infringe anyone's rights, send unsolicited bulk messages, attempt unauthorised access to any system, or interfere with the operation of our platforms. You agree to co-operate to the extent a service needs it: supplying documents, approving proofs, giving site access and nominating someone who can make decisions.
15. Intellectual property
All content, branding, logos, source code and design associated with Vybe's platforms and this website is the intellectual property of Vybe Technologies. Scraping, copying, reverse-engineering and reproduction are prohibited. Your own material — artwork, documents, data and content you supply — remains yours, and you grant us only the licence needed to perform the service you asked for. Where custom development is delivered, ownership of the deliverable is as set out in the relevant statement of work.
16. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for the purposes of the engagement. This does not apply to information that is already public, that is received legitimately from someone else, or that we are required to disclose by law or by a government department in the course of a filing you have asked us to make.
17. Disclaimers
Except where these Terms or a signed agreement say otherwise, services and platforms are provided on an "AS IS" and "AS AVAILABLE" basis, and we disclaim implied warranties to the maximum extent the law permits. We do not warrant that software will be uninterrupted or error-free, that a security assessment will find every weakness, that a government department will approve an application, or that any commercial outcome will follow from anything we supply.
18. Limitation of liability
To the maximum extent permitted by law, Vybe Technologies is not liable for indirect, incidental, special or consequential loss, nor for loss of profit, revenue, goodwill, data or anticipated savings, arising from platform downtime, network failure, missed break schedules, vendor negligence, a departmental decision, or your use of anything we supply.
Our total aggregate liability arising out of or in connection with a service, on any basis, is limited to the amount you paid us for that service in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
19. Suspension and termination
We may suspend or terminate a service for material breach of these Terms, for non-payment, or where continuing would be unlawful or unsafe. Where the breach can be put right, we will say what is wrong and allow a reasonable opportunity to fix it, unless the circumstances do not permit that. Subscription terms and notice periods are as stated on your order.
20. Force majeure
Neither party is liable for a failure to perform caused by something outside its reasonable control, including natural events, utility or network failure, civil disturbance, government action, and the acts or omissions of a government department processing an application.
21. Governing law
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from them. Before starting proceedings, please raise the matter with us so that we can try to resolve it, including through the escalation route in clause 22.
22. Complaints and escalation
Raise a matter first with the team that handles it: sales for quotations and new work, support for something already running, and legal for contracts, invoicing and data protection. If it is not resolved there, or you are not satisfied with how it was handled, you may escalate it to our Grievance Officer at manjunath@vybe.net.in, attaching the original correspondence and the date it was sent.
23. Amendments
We may update these Terms from time to time. Changes appear on this page with a revised date, and continued use of our services after that constitutes acceptance. Where a change materially affects an active subscription, we will tell subscribers directly.
